Belay Avocats acted as counsel to the purchaser in connection with the acquisition of all of the share capital of a company specialized in premises cleaning, water treatment and the collection, transport and recovery of urban, industrial and household waste, for the benefit of a leading group in the environmental services and sanitation sector.
Alongside the purchaser, Belay Avocats notably advised on:
- conducting the legal and regulatory due diligence on the target;
- negotiating the guarantees granted to the purchaser; and
- reviewing, negotiating and drafting the share purchase agreement and ancillary documentation.
