Belay Avocats acted as counsel to the purchaser in connection with the acquisition of 100% of the share capital of a French company specialized in the design and sale of storage solutions and industrial equipment, together with assembly and installation services.

The transaction, signed on 29 September 2025, forms part of the development strategy of a European group operating in the logistics and industrial sector, seeking to strengthen its presence on the French storage solutions market. The deal provides for the transfer of all shares in the target, together with the implementation of vendor financing and related security interests, designed to support the financing of the purchase price and secure post‑closing undertakings.

In this transaction, Belay Avocats assisted the purchaser notably with:

• legal due diligence on the target and securing the main contractual, corporate and operational risks associated with its business;
• negotiating and drafting the share purchase agreement and transactional documentation (vendor financing, security package); and
• structuring and implementing the management and services agreements entered into with the seller, in order to ensure continuity of the target’s operational management and support functions.
