Belay Avocats acted as counsel to the seller in connection with the sale of 100% of the share capital of a French company specialized in the manufacture of bodyworks, trailers and related equipment for industrial vehicles.
Alongside the seller, Belay Avocats notably advised on:
- support in connection with the due diligence carried out by the purchasers;
- defining and securing the conditions precedent (intragroup agreements, environmental reports, financial statements, etc.);
- preparing, negotiating and drafting the share purchase agreement, ancillary documents and the completion deed; and
- implementing specific agreements governing the post‑closing commercial relationships between the selling group and the target company, as well as the unwinding of existing intragroup arrangements.
