Belay Avocats acted as counsel to the sellers in connection with the sale of 100% of the share capital of a French group specialized in the luxury sector, as part of a competitive process organized by the sellers.
Alongside the sellers, Belay Avocats notably advised on:
• structuring the transaction from a legal standpoint and providing support throughout the competitive sale process;
• preparing the process documentation and assisting with the due diligence carried out by potential purchasers;
• defining and securing the conditions precedent and guarantee undertakings (representations and warranties, pricing mechanisms, etc.).
